By clicking “I Agree,” selecting a checkbox indicating acceptance, using any other acceptance mechanism presented through the Service (as defined below), or otherwise affirmatively indicating your agreement to these Terms and Conditions, you confirm that you have read, understood, and agree to be bound by this Agreement. If you do not agree to these Terms and Conditions, you must not create an account or use the Service. You further authorize and grant agency to any individual who accepts these Terms and Conditions on your behalf through the “I Agree” button or any equivalent acceptance mechanism within the Service.

By accessing or using the Services, you agree to these Terms. If you do not agree, you must not use the Services.

If you do not agree to these Terms, please do not access or use our Services.

 

1. Overview of Services

Lyla Health provides a digital healthcare platform that may include:

  • AI-powered health assistant (“AI Doctor”)
  • Virtual urgent care and primary care services
  • Mental and behavioral health support
  • Chronic care management
  • Prescription coordination (where clinically appropriate)
  • Health education, triage, and care navigation tools

 

The Services are designed to improve access to care and support clinical decision-making, not replace licensed medical professionals.

 

2. AI Doctor: Nature of Service

The Lyla AI Doctor is an artificial intelligence-based tool that provides:

  • General health information and education
  • Symptom assessment and triage suggestions
  • Care navigation recommendations
  • Administrative and wellness support

 

Important Limitations:

  • The AI Doctor does not provide medical diagnosis.
  • It does not independently practice medicine.
  • It does not replace licensed clinicians or clinical judgment.
  • Outputs may be incomplete, inaccurate, or not reflect the latest medical standards.

 

You should always confirm AI-generated information with a licensed healthcare provider before making medical decisions.

 

3. No Doctor-Patient Relationship (AI Use)

Use of the AI Doctor alone does not create a physician-patient or provider-patient relationship between you and Lyla Health or any of its employees or contractors.

A formal clinical relationship is only established when you engage with a licensed clinician through Lyla Health’s telehealth services.

 

4. Telehealth Clinical Services

When you receive care from a licensed provider through Lyla Health:

  • The provider is solely responsible for your clinical care
  • Care is governed by applicable state telehealth laws and professional standards
  • You may be required to provide informed consent before receiving treatment
  • Prescriptions are issued only at the discretion of a licensed clinician following evaluation

 

5. Emergency Use Restriction

The Services are not intended for emergencies.

If you are experiencing a medical emergency, call 911 or go to the nearest emergency department immediately.

Do not rely on the AI Doctor or platform for urgent or life-threatening conditions.

 

6. Eligibility

You must be at least 18 years old or the age of majority in your jurisdiction to use the Services. By using the Services, you represent that you meet this requirement.

 

7. User Accounts and Responsibilities

You agree to:

  • Provide accurate and complete information
  • Maintain confidentiality of your account credentials
  • Use the Services only for lawful purposes
  • Not misrepresent your identity or health status
  • Not attempt to reverse engineer or disrupt the Services

 

8. Acceptable Use and Prohibited Conduct

You may not use the Services to:

  • Seek or attempt to obtain controlled substances without proper clinical evaluation
  • Misuse the AI Doctor for harmful, deceptive, or unlawful purposes
  • Interfere with system security or performance
  • Upload malicious code or attempt unauthorized access
  • Use the Services in violation of applicable healthcare laws or regulations

 

9. Data, Privacy, and Health Information

Your use of the Services is governed by our Privacy Policy.

We may process health-related information you provide in order to:

  • Deliver Services
  • Generate AI outputs
  • Support clinical workflows
  • Improve system safety and performance

 

We implement administrative, technical, and physical safeguards designed to protect your information. However, no system is completely secure.

Where applicable, Lyla Health may operate as a HIPAA-regulated entity or business associate depending on the service context.

 

10. AI Limitations and Clinical Safety

You acknowledge that:

  • AI systems are probabilistic and not deterministic
  • Outputs may reflect inaccuracies, bias, or outdated information
  • AI-generated suggestions are informational only
  • Clinical decisions must be made by licensed providers

 

Lyla Health does not guarantee the accuracy, completeness, or suitability of AI outputs for any medical purpose.

 

11. Intellectual Property

All content, software, systems, and technology underlying the Services are owned by Lyla Health or its licensors.

You are granted a limited, non-exclusive, non-transferable license to use the Services for personal, non-commercial use in accordance with these Terms.

 

12. Limitation of Liability

To the fullest extent permitted by law, Lyla Health is not liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of the Services.

This includes reliance on AI outputs or clinical decisions made based on such outputs.

 

13. Indemnification

You agree to indemnify and hold harmless Lyla Health, its affiliates, officers, employees, contractors, and partners from any claims, damages, or liabilities arising from:

  • Your misuse of the Services
  • Your violation of these Terms
  • Your violation of applicable laws or third-party rights

 

14. Service Modifications

We may modify, suspend, or discontinue any part of the Services at any time without prior notice.

We may also update these Terms periodically. Continued use of the Services constitutes acceptance of updated Terms.

 

15. Third-Party Services

The Services may integrate with or link to third-party services. We are not responsible for the content, policies, or practices of third-party providers.

 

16. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
